General terms and conditions of business

General
Our offers, deliveries, services or other legal transactions are subject solely to these terms and conditions. All changes and amendments to the contract shall be invalid unless agreed in writing. Any purchase order shall reference these conditions of sale and delivery, unless expressly agreed otherwise by nutrimmun GmbH.

Conclusion of an agreement
Our offers are non-binding. The contract commences on acceptance of the order by nutrimmun GmbH. The order can be placed by the purchaser in writing, by fax, by telephone or e-mail. The order shall be considered to be accepted by nutrimmun GmbH, if it is confirmed verbally or in writing or the delivery has been made. The purchaser is responsible for the provision of complete and correct delivery address.

Delivery and delivery times
The delivery of the good will be at the customer’s risk. We shall use our standard packaging of their own choice, which may be by letter post, parcel service or by train. If we have additional cost through special shipping instructions, the costs shall be borne by the customer.

We usually deliver, but do not guarantee to deliver, within one week, often within 24 hours of the order being placed. We reserve the right, in the case of unavailability of the product to release ourselves from the contract at no penalty and not to deliver the ordered product. In this case we will refund any monies received in respect to any ordered product not delivered.

Prices
All prices shall be in addition of value added tax (VAT) and shipping costs (see below under shipping costs). Mistakes, printing errors, price and technical changes will be reserved. The prices stated at the time of the order are valid.

Shipping costs
Expenses for postage and packaging
- for contracts of pharmacies with a net invoice amount less then € 25.00,
- for contracts of pharmaceutical wholesale with a net invoice amount less then € 250.00
fall with the incurred production cost to the recipient load.

Mode of payment
Unless otherwise expressly agreed, payments are due within 30 days of the invoice. An early payment discount of 1.5 % is made for orders where payments are received within 14 days of the invoice.

Receipt of goods
The received products have to be checked immediately for completeness and correctness from the buyer. The purchaser shall notify nutrimmun GmbH where the received products are found to be incomplete or incorrect. Complaints received later than 7 days after receipt of the products cannot be accepted. External damage to the packaging shall be recorded upon delivery by the carrier.

Warranty
We guarantee that our goods are free of factory defects and material defects. The warranty period is 24 months from the date of delivery. This applies for products with best-before date. Obvious defects must be reported in written to the supplier not later than one week after delivery. A liability for the normal spoilage is excluded.

In a case of warranty it is up to our discretion to repair the defect, replace the delivery or to pay back the sale price. If the removal of the defect or the replacement is unsuccessful, the customer shall be entitled to withdraw from the contract. Additional claims of the customer, especially claims for damages are not permitted, as long as such damage wasn’t caused by our deliberate intent or gross carelessness.

Shipping must be paid by the customer. The postage will only be reimbursed if a complaint is found to be justified.

Liability
The limit of liability relating to any order is limited to the maximum value of the order.

Reservation of proprietary rights
The delivered goods remain the property of the purchaser until complete payment of the demands. We will not return products purchased on a fixed account.

Right of return
Properly delivered goods can be returned within 14 calendar days from delivery, indicating the invoice number. In this case a credit on the invoice amount attributable to the returned goods will be made. Any loss of value (for example traces of use or damage) is replaced in case of return by the customer.

Authenticity
Should any provisions of the agreement, including these general terms and conditions of business, be or become invalid, whether in whole or in part, then the validity of the remaining provisions shall remain unaffected. In case of invalid or missing terms, the particular legal regulation in effect at the place of performance and jurisdiction will be applied.

Place of performance and jurisdiction
Place of performance and jurisdiction is Münster.
